1. Agreement to Terms

By accessing or using FeatherSuite's services, website, and software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and FeatherSuite ("we", "our", or "us") regarding your use of our Services.

2. Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement with FeatherSuite
• Your use of the Services does not violate any applicable laws or regulations

3. Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to promptly notify us of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Services and Subscription

FeatherSuite offers bookkeeping services through both free and paid subscription plans:

• Free Plan: Provides basic bookkeeping features with limited functionality.
• Pro Plan: A paid subscription that includes additional features such as bank account connections, enhanced reporting, and more.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content.

5. Fees and Payment

If you subscribe to our Pro Plan, you agree to pay all fees associated with your subscription. Fees will be billed on a monthly or annual basis, depending on your selection during sign-up or as subsequently changed in your account settings.

Payments are non-refundable. We may change our fees at any time, but will provide reasonable notice before any fee changes take effect. If you do not agree with the fee changes, you have the right to reject the change by canceling your subscription before the fee change takes effect.

All fees are exclusive of taxes, which may be added to the final charge as required by law.

6. User Content and Data

When using our Services, you may be able to submit information, text, files, and other materials ("User Content"). You retain all rights to your User Content, and you are solely responsible for it.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content for the purpose of providing and improving our Services.

You represent and warrant that your User Content, and our use of it, does not and will not infringe or violate any third-party rights, or violate any applicable laws or regulations.

7. Bank Connections and Financial Data

For Pro Plan users, we use Plaid to connect to your financial institutions. When using this feature:

• You authorize us to retrieve information from your financial institutions
• You understand that Plaid's terms of service and privacy policy apply to the information collected by Plaid
• We do not have the ability to make transactions on your behalf
• While we strive to accurately represent your financial data, we cannot guarantee the accuracy of imported information

8. Intellectual Property Rights

The Services and their original content, features, and functionality are owned by FeatherSuite and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works, publicly display, publicly perform, republish, or transmit any material from our Services without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, FeatherSuite and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

In no event shall our total liability to you for all claims exceed the amount you paid to us for the Services during the twelve (12) months preceding the event giving rise to the liability.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We specifically disclaim all warranties and conditions of any kind, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless FeatherSuite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.

12. Term and Termination

These Terms will remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
