Terms of Service

1. Agreement to Terms

By accessing or using FeatherSuite's services, website, and software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and FeatherSuite ("we", "our", or "us") regarding your use of our Services. It is your responsibility to review these Terms periodically. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

2. Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into a binding agreement with FeatherSuite
  • Your use of the Services does not violate any applicable laws or regulations
  • You will only use the Services for legitimate business purposes
  • You are not located in a country that is subject to a U.S. government embargo, or that has been designated as a "terrorist supporting" country
  • You are not listed on any U.S. government list of prohibited or restricted parties

3. Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to promptly notify us of any unauthorized use of your account or any other breach of security by emailing [email protected]. We cannot and will not be liable for any loss or damage arising from your failure to protect your account credentials.

Each account is for a single user only. You may not share your account credentials with any third party. If you create an account on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Services and Subscription

FeatherSuite offers bookkeeping services through various subscription plans, which may include free and paid tiers. Our current offerings include:

  • Free Tier: Provides basic bookkeeping features with certain limitations. This tier is currently offered at no cost, but we reserve the right to modify, limit, or discontinue features at any time.
  • Paid Plans: Various subscription tiers that may include additional features such as document scanning, enhanced reporting, bank connections, multi-user access, and professional services. Plan names, features, and pricing are subject to change.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, content, or entire subscription plans. We may introduce new plans, modify existing plans, or change our pricing structure. We will make reasonable efforts to provide advance notice of material changes to the Services when possible.

The features, functionality, and pricing of each plan may change from time to time. We will notify users of significant changes to their subscription plan, including any changes that may affect their current subscription.

5. Fees, Payment, and Refunds

If you subscribe to any of our paid plans, you agree to pay all fees associated with your subscription according to the pricing and payment terms presented to you at the time of purchase. Fees will be billed according to the billing cycle you select (which may include monthly, annual, or other intervals as we may offer from time to time).

5.1 Pricing and Billing

All prices listed on our website are in US Dollars unless otherwise specified. Prices may vary by region. We may change our fees at any time, but will provide at least 30 days notice before any fee changes take effect for existing subscribers. If you do not agree with the fee changes, you have the right to reject the change by canceling your subscription before the fee change takes effect.

All fees are exclusive of applicable taxes (like VAT or sales tax), which we will charge as appropriate for your location. You are responsible for providing accurate billing information and keeping it updated.

5.2 Automatic Renewal

To ensure uninterrupted service, all subscriptions automatically renew unless you cancel your subscription before the renewal date. For monthly subscriptions, your subscription will renew on the same day each month. For annual subscriptions, your subscription will renew on the anniversary of your initial subscription date.

5.3 Cancellation

You can cancel your subscription at any time from your account settings or by contacting [email protected]. If you cancel, you can continue to use the Services until the end of your current billing period, but you will not receive a refund for any fees already paid.

5.4 Refund Policy

All subscription payments are final and non-refundable, except in the following circumstances:

  • Service Unavailability: If our Services are completely unavailable for a continuous period of more than 24 hours due to our fault, you may request a pro-rated refund for the affected time period.
  • Double Billing or Incorrect Amount: If you are charged twice for the same subscription period or charged an incorrect amount, the overcharged amount will be refunded.
  • New Subscribers: If you are a new subscriber to any of our paid plans and not satisfied with the Services, you may request a full refund within the first 7 days of your initial subscription. This is limited to your first paid subscription and applies only once per customer.

To request a refund, please contact us at [email protected] with your account information and the reason for the refund request. All refund requests will be evaluated on a case-by-case basis.

Refunds, when approved, will be issued to the original payment method used for the purchase. Processing of refunds may take up to 7 business days, depending on your payment method and financial institution.

6. User Content and Data

When using our Services, you may be able to submit information, text, files, and other materials ("User Content"). You retain all rights to your User Content, and you are solely responsible for it, including its legality, reliability, accuracy, and appropriateness.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content for the purpose of providing and improving our Services. This license does not allow us to use your User Content for marketing purposes without your explicit consent.

You represent and warrant that:

  • Your User Content, and our use of it, does not and will not infringe or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Your User Content complies with all applicable laws and regulations
  • You have obtained all necessary rights, licenses, consents, and permissions to submit the User Content and to grant the rights granted to us

7. Financial Data and Document Management

Our Services allow you to manually input, manage, and organize your financial transactions and documents. When using these features:

  • You are responsible for the accuracy of all financial data you enter
  • Our document scanning technology (available in certain subscription plans) extracts data from uploaded documents, but you should verify all extracted information
  • We do not have the ability to make transactions on your behalf or move money between accounts
  • While we strive to accurately represent your financial data, we cannot guarantee the accuracy of information if it was incorrectly entered

FeatherSuite is a bookkeeping and record-keeping tool, not a financial advisor. The information provided by our Services is not intended to replace the advice of qualified accounting, tax, or legal professionals.

You are responsible for ensuring that your use of our Services complies with all accounting, tax, and regulatory requirements applicable to your business.

8. Data Backup and Export

While we implement regular backup procedures, you are encouraged to export and backup your data periodically. FeatherSuite provides data export functionality that allows you to download your financial information in common formats.

If you terminate your account or subscription, you will have 30 days to export your data before it becomes inaccessible. After 90 days from account termination, all User Content may be permanently deleted from our active servers and backup systems.

9. Intellectual Property Rights

The Services and their original content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by FeatherSuite and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our name, logo, and product names are trademarks of FeatherSuite. You may not use these marks without our prior written consent.

You may not copy, modify, create derivative works, publicly display, publicly perform, republish, transmit, or distribute any material from our Services without our prior written consent, except for your own User Content that you legally upload to the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEATHERSUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, REGARDLESS OF THE CAUSE OR THE FORM OF ACTION.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO US.

THE LIMITATIONS SET FORTH ABOVE WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, FEATHERSUITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FEATHERSUITE DOES NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
  • THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS
  • ANY ERRORS IN THE SERVICES WILL BE CORRECTED

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

12. Indemnification

You agree to indemnify, defend, and hold harmless FeatherSuite and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms, your User Content, or your use of the Services.

13. Term and Termination

These Terms will remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.

If your account is terminated for any reason:

  • Your right to use the Services will immediately cease
  • You will have 30 days to export your data, after which your access to the data will be disabled
  • After 90 days, your data may be permanently deleted from our systems
  • If you had a paid subscription, you will not receive a refund for any unused portion of your subscription

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.

15. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to, or use of, the Services or these Terms shall be instituted in a state or federal court in Delaware, and you agree to submit to the personal jurisdiction of such courts.

16. Dispute Resolution

In the event of any controversy or dispute between you and FeatherSuite arising out of or in connection with your use of the Services, we shall attempt, promptly and in good faith, to resolve the dispute. If we are unable to resolve the dispute within a reasonable time (not to exceed 30 days), either party may pursue resolution through the appropriate legal channels.

Any disputes will be resolved in accordance with the governing law and jurisdiction specified in these Terms.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

18. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and FeatherSuite concerning your use of the Services, and supersede all prior communications, proposals, and understandings, whether electronic, oral, or written, between you and FeatherSuite with respect to the Services.

21. Your Acknowledgment

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THESE TERMS OF SERVICE, YOU MUST NOT USE THE SERVICES.
